Terms of Service

1. Agreement to Terms

By accessing or using the ClientWise website and services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.

2. Services

ClientWise provides CRM data operations services including but not limited to CRM reputation audits, ICP-verified prospect pools, deliverability protection, data enrichment, and always-fresh pipeline retainers. The specific scope, deliverables, and timelines for each engagement are defined in individual service agreements or statements of work.

3. Client Responsibilities

When using our services, you agree to:

• Provide accurate and complete information.
• Grant necessary access to CRM systems as required for the agreed services.
• Ensure you have the authority to share any data provided to us.
• Comply with all applicable data protection laws regarding the data you share.

4. Intellectual Property

All content on the ClientWise website, including text, graphics, logos, and software, is owned by or licensed to ClientWise and protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our written consent.

Any data, reports, or deliverables created as part of our services are owned by you, the client, upon full payment. Our methodologies, templates, and tools remain our intellectual property.

5. Payment Terms

Payment terms are specified in individual service agreements. Unless otherwise stated, invoices are due within 14 days of issue. We reserve the right to suspend services for overdue payments.

6. Confidentiality

Both parties agree to keep confidential any non-public information received during the engagement. This includes CRM data, business strategies, and proprietary processes. Confidentiality obligations survive termination of services.

7. Limitation of Liability

To the maximum extent permitted by law, ClientWise shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services or website. Our total liability shall not exceed the fees paid for the specific service giving rise to the claim.

8. Termination

Either party may terminate a service engagement with 30 days' written notice, unless otherwise specified in the service agreement. Upon termination, we will return or securely delete all client data within 30 days.

9. Governing Law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

10. Changes to Terms

We may update these terms from time to time. Material changes will be communicated via our website. Continued use of our services after changes constitutes acceptance.
